Altra x Diplo Run Club Sweepstakes

Sponsor:  Altra Running, a division of VF Outdoor, LLC, 1551 Wewatta St., Denver, CO 80202.

Open only to legal U.S. residents, 21 years of age or older. Employees, officers and directors of Sponsor, Pentz TM Holdings, LLC (i.e., Diplo’s Run Club), Diplo (a.k.a. Thomas Wesley Pentz), and, as applicable, their respective parent companies, subsidiaries, affiliates, or of any agencies/entities involved in the development, production or administration of the Sweepstakes are not eligible to enter or win the prize.

By entering this Sweepstakes, you agree to these Official Rules and the decisions of Sponsor, which are final and binding in all respects.

1. SWEEPSTAKES PERIOD:

September 3, 2025 at 12:00:00 a.m. Eastern Time – December 14, 2025 at 11:59:59 p.m. Eastern Time. Sponsor’s computer is the official clock for all purposes of the Sweepstakes.

1. TO ENTER/ENTRY RESTRICTIONS:

Visit https://www.altrarunning.com/en-us/drc-sweepstakes.html (“Sweepstakes Website”) and complete the official entry form with all required information including your name and e-mail address.  All entries must be received by December 14, 2025 at 11:59:59 p.m. Eastern Time.

Collection of personal information is subject to the Altra Running Privacy Statement accessible at https://www.altrarunning.com/en-us/help-center/legal/privacy-policy/privacy-policy.html. Unless you expressly indicate otherwise, your information will only be used for purposes of Sweepstakes administration. It is recommended that you review the Altra Running Privacy Statement BEFORE entering the Sweepstakes.

Limit of one (1) entry per person. Violation of entry limit will result in disqualification from the Sweepstakes, with all entries being void and may constitute tampering as set forth below.

Use of automated, programmed or like means of participation in the Sweepstakes (including third party entry services) is prohibited and will result in disqualification from the Sweepstakes, with all entries being void, and may also constitute tampering.

Proof of submission of completed official entry form does not constitute proof of receipt of same or proof of entry.

Receipt of entry may be acknowledged but such acknowledgment does not constitute a representation as to one’s eligibility nor is it otherwise binding upon Sponsor.

If you participate in the Sweepstakes via compatible mobile device, you will be solely responsible for any Internet access charges and other fees incurred in conjunction therewith, as per your wireless carrier’s rate plan. It is recommended that you review your wireless carrier’s rate plan BEFORE entering the Sweepstakes via mobile device.

In the event of a dispute, entry will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. “Authorized account holder” means the natural person who is assigned an e-mail address by an Internet access provider, online service or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

1. WINNER SELECTION & NOTIFICATION:

The winner will be selected in a random drawing comprised of all eligible entries received. Sponsor will conduct the random drawing on or about December 15, 2025.

Potential winner will be notified by phone and/or e-mail on or about date of random drawing and must respond to such notification within indicated time period (which will be no more than three [3] days) in order to remain eligible. Potential winner must also sign a Declaration of Eligibility, Liability Release and a Publicity Release (where legal) to be returned within three (3) days (or such shorter time period as indicated thereon.) If potential winner cannot be notified by Sponsor despite commercially reasonable efforts to do so; if he/she fails to timely return the signed Declaration/Release; or if Sponsor determines that he/she is ineligible or otherwise not in compliance with these Official Rules, the prize will be forfeited without compensation of any kind. In the event of prize forfeiture, Sponsor may award the prize to an alternate winner selected, time permitting.

1. PRIZE/APPROXIMATE RETAIL VALUE (“ARV”) AND ODDS OF WINNING:

Prize (1) – trip for winner and one (1) guest to the Miami, Florida event of Diplo’s Run Club on Saturday, January 17, 2026. Event includes opportunity to participate in a 5K (5 kilometer; approximately 3.1 mile) run and admission to post-run Diplo concert.  Trip consists of two (2) VIP tickets to event; 2-night stay at a hotel in the Miami area (one standard room, double occupancy); roundtrip coach air travel from major commercial airport nearest winner’s residence to Miami; $500 spending money (awarded as a gift card). Total Approximate Retail Value of Prize: $5,100.00  (If actual value of Prize is less than $5,100.00, winner will not receive the difference in cash or otherwise.)

TRIP MUST BE TAKEN ON INDICATED DATES SO AS TO ATTEND THE EVENT; IF WINNER IS NOT AVAILABLE ON SUCH DATES FOR ANY REASON, PRIZE WILL BE FORFEITED WITHOUT COMPENSATION (AND AN ALTERNATE WINNER MAY BE SELECTED, TIME PERMITTING).

WINNER AND GUEST EXPRESSLY ACKNOWLEDGE THAT PARTICIPATING IN A 5K RUN CARRIES A RISK OF INJURY INCLUDING TO THE RUNNER’S SHINS, KNEES AND ACHILLES WHETHER DUE TO INADEQUATE TRAINING, INSUFFICIENT WARM-UP, IMPROPER FORM OR OTHERWISE, WITH WINNER AND GUEST EXPRESSLY ASSUMING SUCH RISK. IF YOU DO NOT BELIEVE THAT YOU ARE IN APPROPRIATE PHYSICAL CONDITION TO PARTICIPATE IN A 5K RACE, YOU ARE ADVISED NOT TO ENTER THE SWEEPSTAKES.

Trip is subject to availability and other restrictions. Hotel stay component of prize only includes accommodations at hotel; additional activities/amenities at hotel are not included. For hotel stay, winner will be required to provide a valid credit card/debit card or other payment method at time of check-in so as to protect Sponsor from any liability to hotel property during hotel stay. Winner and guest must travel together on same flight/itinerary, using travel agent of Sponsor’s sole choosing. Winner and guest are solely responsible for obtaining all necessary travel documents.

Winner’s guest must complete, sign and return a Liability Release and a Publicity Release (where lawful) and provide to Sponsor all travel information (including, full legal name as reflected on identification and other requested booking information), contemporaneously with winner doing so.  Failure to do so or if winner elects to travel without a guest will result in Prize being awarded in increments for the winner him/herself and no alternate prize or compensation being awarded (and, without limiting the foregoing, winner will only receive one [1] ticket to event.) If winner lives within reasonable driving distance of Miami (as determined by Sponsor in its sole discretion), Sponsor will substitute ground transportation (or a stipend for same, in an amount of Sponsor’s sole choosing) for air travel component of Prize and no alternate prize or compensation will be awarded.

Winner and guest must conduct themselves at all times in an appropriate, well-behaved and respectable manner during the trip including without limitation during flights, hotel stay, participation in 5K race, attendance at Diplo concert and otherwise during event. The preceding expressly includes complying with any and all government mandates and third party prize provider policies designed to prevent the spread of COVID-19/Coronavirus and other infectious diseases.  Should winner and/or guest fail to do so, as determined by Sponsor and/or Pentz TM Holdings, LLC (i.e., Diplo’s Run Club), in the sole discretion of either party, any remaining elements of the Prize will be forfeited without further liability of any kind to Sponsor, Pentz TM Holdings, LLC (i.e., Diplo’s Run Club) or Diplo (a.k.a. Thomas Wesley Pentz).

Event tickets are subject to the terms and conditions stated thereon/provided therewith, including prohibition on re-sale as well as policy if event cannot be held as intended whether due to weather or other cause. Venue policies may also apply to ticket usage.

Winner and guest acknowledge that Sponsor has not obtained any insurance for their benefit relative to the Trip including but not limited to the 5K race.

Gift card element of Prize is subject to terms/conditions of gift card issuer, with such issuer to be selected by Sponsor in its sole discretion.

No prize substitution except due to unavailability of Prize or any element thereof for any reason, as determined by Sponsor in its sole discretion and only then for prize/prize element of comparable value. Prize is not redeemable or exchangeable for cash (except for gift card element of Prize in those jurisdictions which mandate by law that a gift card may be redeemed for its cash value). If any element of Prize is unused or declined by winner and guest, no alternate prize or compensation will be awarded. No prize transfer except with Sponsor's permission which may be granted or withheld in its sole discretion without liability of any kind. All taxes on value of Prize are the winner’s sole responsibility, with the winner being issued an IRS 1099 Tax Form for the value of the Prize.  Winner further agrees to fully cooperate with Sponsor relative to its compliance with Internal Revenue Service tax reporting requirements, including provision of his/her Social Security Number via IRS W9 Tax Form.  All unspecified expenses incurred in conjunction with prize acceptance and use, including but not limited to travel to/from departure airport, souvenirs, meals and incidental expenses are also the winner’s sole responsibility. No award points, frequent flier miles or like “perks” are available in conjunction with acceptance and use of Prize.

Odds of winning the prize depend on the total number of eligible entries received.

1. ADDITIONAL CONDITIONS OF PARTICIPATION:

By participating, entrant releases and agrees to hold harmless (i) Sponsor, Pentz TM Holdings, LLC (i.e., Diplo’s Run Club), Diplo (a.k.a. Thomas Wesley Pentz), and, as applicable, their respective parent companies, subsidiaries, affiliates; agencies/entities involved in the development, production or administration of the Sweepstakes; and (ii) as applicable, the directors, officers, employees, agents, successors and assigns of any of the above organizations from any and all liability arising from the Sweepstakes or the receipt, acceptance, use or misuse of the Prize.

By accepting Prize, where legal, winner agrees to the use of their name, photograph, likeness, voice, nickname and other indicia of their identity/persona for advertising/trade/publicity purposes by Sponsor and its designees without further compensation or notice.

Sponsor is not responsible for late, lost, illegible/garbled, inaccessible, corrupted, incomplete, delayed, damaged or misdirected entries, all of which are void. Sponsor is also not responsible for programming, electronic, technological, telephonic, network or other malfunction, error or failure which in any way affects or interferes with the intended operation of the Sweepstakes; for entries not timely received or not received in a usable format from prospective entrant for any reason; for Sponsor’s inability to notify potential winner due to any technological failure, error or malfunction of any kind (or due to any other reason); or, for injury or damage to an individual’s or a third party’s computer or mobile device or the information/data stored thereon in conjunction with the Sweepstakes.

If Sweepstakes cannot be conducted as originally planned due to any cause beyond Sponsor’s control (e.g., computer virus, act of fraud, natural disaster), Sponsor may cancel/suspend/modify Sweepstakes and determine the winner from among all eligible entries received before or after the action taken by Sponsor or otherwise in a manner determined by Sponsor in its sole discretion to be fair, appropriate and consistent with these Official Rules. Notice of such action will be posted at the Sweepstakes Website.

Tampering with Sweepstakes or violation of these Official Rules will result in automatic disqualification from the Sweepstakes, with entry being void; however, under such circumstances, the preceding shall not represent Sponsor’s sole recourse and Sponsor may pursue all available legal remedies.

Sponsor’s failure to enforce any provision of these Official Rules in a given instance is NOT a waiver of such provision.

Any dispute or claim regarding the Sweepstakes will be resolved pursuant to the internal, substantive law of the State of Delaware. Any such dispute/claim must be brought individually (NOT as part of a class action) in the federal or state courts in the State of Delaware with recovery being limited to one’s actual costs in participating in the Sweepstakes (if any) with all damages or other forms of recovery being expressly waived. By participating, you agree to the personal jurisdiction of the federal and state courts of the State of Delaware and waive any right of change of venue, forum nonconveniens or the like.

If any provision of these Official Rules is determined by a court of competent jurisdiction to be invalid, illegal or unenforceable, it shall be replaced by a substitute provision that most closely approximates the original intent of Sponsor and is valid, legal and enforceable. The invalidity/illegality/unenforceability of a given provision shall not affect the validity/legality/enforceability of the remainder of these Official Rules.

For name of winner (first name, last initial; city/state), send a request by mail to Sponsor at the above address. Be sure to put “ALTRA x DIPLO RUN CLUB WINNER” on the front of the envelope. Winner’s list request must be received by January 5, 2026.
